Terms of Service

Last updated: 2026-10-29

These Terms of Service ("Terms") are an agreement between you and Simply Stats LLC, doing business as PayClear, a North Carolina limited liability company ("PayClear", "we", "us"), and govern your use of the PayClear website, free pay application checker, and subscription software (together, the "Service"). By using the Service you agree to these Terms. If you use the Service for a company, you confirm you can bind that company, and "you" means the company.

1. What PayClear does, and what it doesn't

PayClear helps subcontractors prepare and check construction pay applications. The free checker reads a document you upload and flags likely errors and omissions. The paid Service helps you build pay applications from information you enter.

2. Accounts

You must give accurate information, keep your password secure, and tell us promptly about unauthorised use. You must be at least 18 and use the Service for business purposes. We may suspend accounts that break these Terms or put the Service or other users at risk.

3. Free checker

The free checker is limited to 3 checks per email address per calendar month and may change or stop at any time. Don't upload documents you don't have the right to share.

4. Subscriptions, trials and billing

5. Your data

You own the content you upload or enter ("Customer Data"). You give us permission to host, copy, process and display Customer Data only to provide and improve the Service, as described in our Privacy Policy. We don't sell Customer Data. Where we use a service provider (for example, hosting or email delivery), they process data for us under contract. We may use de-identified, aggregated data (for example, how often a type of error occurs) to improve the Service.

You can export or delete your data; see the Privacy Policy. We delete uploaded checker files 30 days after the check.

6. Acceptable use

Don't: break the law; upload malware; try to access other customers' data; probe, scan or overload the Service; reverse engineer it except where the law allows; resell it without our permission; or use it to send unlawful or deceptive messages. The GC payment reminder feature may only be used for genuine, owed amounts, and you are responsible for its content.

7. Third-party services

The Service relies on third parties (for example Stripe for payments, email providers, and cloud hosting). Their terms may also apply, and we aren't responsible for their services.

8. Changes and availability

We may update the Service and these Terms. If a change to these Terms is material, we'll give at least 30 days' notice by email or in the app. Continuing to use the Service after the change means you accept it. We aim for high availability but don't promise the Service will be uninterrupted or error-free.

9. Disclaimer of warranties

TO THE MAXIMUM EXTENT ALLOWED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DON'T WARRANT THAT FINDINGS WILL IDENTIFY EVERY ERROR OR THAT ANY PAY APPLICATION WILL BE ACCEPTED OR PAID.

10. Limitation of liability

TO THE MAXIMUM EXTENT ALLOWED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, INTEREST, FINANCING COSTS, LIEN RIGHTS, OR DELAYED OR DENIED PAYMENT; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM (OR $100 IF YOU USE ONLY FREE FEATURES).

11. Indemnity

You'll defend and indemnify us against third-party claims arising from your Customer Data, your pay applications or other submissions, or your breach of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or end your access if you materially breach these Terms. After termination, you can export your data for 30 days, after which we may delete it.

13. Disputes

These Terms are governed by the laws of North Carolina, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in North Carolina, except that either party may bring a claim in small-claims court where it qualifies.
